Milwaukee Tool® MEASURE UP SWEEPSTAKES (the “Promotion”)

Official Rules (the “Official Rules”)

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

1. Definitions:

In these Official Rules, unless something in the subject matter or context is inconsistent therewith:

  • 1.1      “Entrant”: means an individual person and a resident of Canada who is at least the age of majority in his or her respective province. “Entrants” refers to more than one Entrant.
  • 1.2      “EST”: means Eastern Standard Time;
  • 1.3      “Grand Prize Draw”: in accordance with Section 7.2 of these Official Rules, means the random draw performed by the Promotion Administrator whereby the draw consists of all of the Valid Entries that have not already been selected in this Promotion as a Weekly Prize Winner. Subject to the notification requirement in Section 7.2, one (1) ballot shall be selected and that ballot shall be the Grand Prize Winner. The Grand Prize Draw shall be performed on July 1, 2017 at 9:00 a.m. (EST). Should a prospective Grand Prize Winner not notify the Promotion Administrator within the time specified in Section 7.2, then that Valid Entry shall be disqualified and one (1) additional ballot shall be selected and be declared the sole Grand Prize Winner. This shall procedure shall continue until a selected winner responds within the timespan specified in Section 7.2;
  • 1.4      “Grand Prize Winner”: means the one (1) ballot selected in the Grand Prize Draw and the selected Entrant has given notice to the Promotion Administrator within the time specified in Section 7.2 of these Official Rules. The Grand Prize Winner shall be the only person displayed on the Websites under the “Grand Prize Winner” title and shall receive a Lifetime Supply of Measuring Tapes. The Grand Prize Winner shall be announced on or before July 14, 2017 at 5:00 p.m. (EST);
  • 1.5      “Lifetime Supply of Measuring Tapes”: refers to 432 tape measures as the maximum number of tape measures provided to the Grand Prize Winner (the “Grand Prize”). The Grand Prize shall consist of only the following tape measures:
    • (a)  400 pieces of any one (1) of the following tape measures:
      • (i) 25/26ft Wide Tapes (SKU 48-227516);
      • (ii) 25ft Wide Blade Tape Measure (SKU 48-22-7517);
      • (iii) 5m/16ft Wide Blade Tape Measure (SKU 48-22-7526); or
      • (iv) 8m/26ft Wide Blade Tape Measure (SKU 48-22-7528);
      • Each tape measure contained in this section 1.5(a)(i)-(iv) has an ARV of $27.99 CAD and a total ARV of $11,196.00;
    • (b) 22 pieces of long tape measures (SKU 48-22-5201) ARV $29.97 each (total ARV $659.34); and
    • (c) 10 pieces of tape measures (SKU 48-22-5012) ARV $69.97 each (total ARV $699.70).
    • The total retail value of all 432 tape measures is $12,555.04. The number of measuring tapes used to determine the amount is based on an average of four (4) tape measures per year for a crew of nine (9) people for twelve (12) years (4 * 9 * 12 = 432 tape measures). The Grand Prize Winner is not entitled to a Prize Package;
  • 1.6      “Microsite”: for the English version please see: milwaukeemeasureup.ca; and for the French version see: mesurermilwaukee.ca;
  • 1.7      “Official Rules”: refers to these official rules herein, read with all necessary application of the Privacy Policy found on the Microsite as a hyperlink;
  • 1.8      “Prize Package”: refers to the prize given to each Weekly Winner, and includes all of the following for a combined ARV of CAD $500.00:
    1. i. Milwaukee® Backpack: (SKU 48-22-8200)(ARV: CAD $100.00);
    2. ii. Milwaukee® Work Belt: (SKU 48-22-8110)(ARV: CAD $100.00);

  • 1.9      “Promotion: refers to this Milwaukee® Measure Up Sweepstakes as described by these Official Rules herein;
  • 1.10    “Promotion Administrator”: refers to Cober Print Ltd. and any of its respective parent companies, subsidiaries and affiliated companies, retailers, sales representatives, dealers, distributors, licensees and the advertising, fulfillment, judging and promotion agencies involved with the development and administration of this Promotion and each of their respective officers, directors, employees, mandataries and agents and their immediate family members and persons domiciled in the same households of each (whether related or not) are not eligible to participate or enter the Promotion;
  • 1.11    “Promotion Conditions”:  means that each Entrant must comply with the following conditions in order to be eligible for any prize and determined to be a Valid Entry:
    • (a) only one Submission per Entrant may be submitted per day during the Promotion Period;
    • (b) each Valid Entry may win only one (1) time, however, an Entrant may win more than one (1) prize with a separate Valid Entry;
    • (c) each Submission must be approved by either the Sponsor or the Promotion Administrator, in their sole and absolute discretion, to be in compliance with these Official Rules;
  • 1.12    “Promotion Email: refers to info@milwaukeemeasureup.ca;
  • 1.13    “Promotion Parties”: refers to the Sponsor and the Promotion Administrator;
  • 1.14    “Promotion Period”: refers to the date that the Promotion accepts Valid Entries, being Saturday April 1, 2017 at 9:00 a.m. (EST) until Friday June 30, 2017 at 5:00 p.m (EST);
  • 1.15    “Registration Form”: means the electronic form required to be filled out as part of the Submission, which includes the following information:
    • (a) where did you hear about the campaign;
    • (b) first and last name;
    • (c) email address;
    • (d) postal code;
    • (e) occupation/industry;
    • (f) which current brand of measuring tape is he or she using;
    • (g) position within the workplace;
    • (h) highest level of education; and,
    • (i) accept communication by the Sponsor during and after the Promotion Period;
  • 1.16    “Sponsor”: means any of or all of Techtronic Industries Canada, Inc., and any of its respective parent companies, subsidiaries and affiliated companies, retailers, sales representatives, dealers, distributors, licensees and the advertising, fulfillment, judging and promotion agencies involved with the development and administration of this Promotion and each of their respective officers, directors, employees, mandataries and agents;
  • 1.17    “Submission”: means the procedural and substantive requirements to constitute one (1) Valid Entry, in accordance with Section 4 and Section 5 of these Official Rules, but every Submission must comply with:
    • (a) the Promotion Conditions;
    • (b) all Submissions must be submitted electronically through to the Microsite;
    • (c) every Submission must include an accurate and completed Registration Form;
    • (d) every Submission must include either:
      • (I) a photo uploaded by the Entrant, in accordance with these Official Rules, displaying a Milwaukee® measuring tape; or,
      • (II) complete answers to all questions on the Survey.
    • (e) every Entrant must have reviewed, understood and agree to be bound by the these Official Rules;
    • (f) every Entrant must be capable of providing voluntary consent, and the Entrant must provide the requisite consent to release all information related to their Submission to the Promotion Parties, to be used in accordance with these Official Rules, including but not limited to the information in the Registration form;
    • (g) all Entrants must correctly answer the mathematical skill testing question; and,
    • (h) if an Entrant’s Valid Entry is selected as a Weekly Winner or a Grand Prize Winner and the selected Entrant is notified by the Promotion Administrator, then the Entrant shall send a picture of him or herself to the Promotion Administrator and the Entrant shall release all rights and interest in the photo to the Sponsor for the Sponsor’s sole use in accordance with the timeline in Section 7.2 of these Official Rules;
  • 1.18    “Sweepstakes”: refers to the Promotion being carried on in compliance with the Competition Act, R.S.C. 1985, c. C-34, as amended from time to time, as a contest whereby no purchase is necessary, purchasing of any Milwaukee® product shall not improve the chances of success and each winner from a Weekly Draw or the Grand Prize Draw is selected at random from all Valid Entries;
  • 1.19    “Valid Entry” or generally as the “Valid Entries”: refers to a Submission that has complied with all requirements specified in these Official Rules and is eligible to be included in the random selection of the Grand Prize Winner and/or the Weekly Winner;
  • 1.20    “Websites”: includes any of the Sponsor or the Promotion Administrator’s Facebook, Instragram, Twitter or any social media page including the Microsite;
  • 1.21    “Weekly Draw”: in accordance with Section 7.1, this refers to the selection of one (1) Weekly Winner, whereby the Promotion Administrator shall randomly select from all Valid Entries one (1) Weekly Winner. One (1) Weekly Draw shall be held on the following dates and times:
    • (a) Friday April 7, 2017 at 9:00 a.m.(EST);
    • (b) Friday April 14, 2017 at 9:00 a.m. (EST);
    • (c) Friday April 21, 2017 at 9:00 a.m. (EST);
    • (d) Friday April 28, 2017 at 9:00 a.m. (EST);
    • (e) Friday May 5, 2017 at 9:00 a.m. (EST);
    • (f) Friday May 12, 2017 at 9:00 a.m. (EST);
    • (g) Friday May 19, 2017 at 9:00 a.m. (EST);
    • (h) Friday May 26, 2017 at 9:00 a.m. (EST);
    • (i) Friday June 2, 2017 at 9:00 a.m. (EST);
    • (j) Friday June 9, 2017 at 9:00 a.m. (EST);
    • (k) Friday June 16, 2017 at 9:00 a.m. (EST);
    • (l) Friday June 23, 2017 at 9:00 a.m. (EST).
  • 1.22    “Weekly Winner”: subject to the proposed Weekly Winner complying with the notice period in Section 3.2 and Section 7.1 of these Official Rules, this refers to the one (1) randomly selected ballot from the respective Weekly Draw. Each Weekly Winner shall receive one (1) Prize Package.

2. Eligibility:

  • 2.1 The Promotion is open only to legal residents of Canada (the “Territory”). Resident of Canada shall mean the same as provided for in subsection 250(1) of the Income Tax Act, R.S.C. 1985 c.1 (5th) as amended from time to time, and all Entrants must have reached the legal age of majority in their respective province or territory of residence at the time that the Submission was made.
  • 2.2 Despite the foregoing, the Promotion Parties are not eligible to participate or enter the Promotion.
  • 2.3 The Promotion is subject to all applicable federal, provincial, territorial and municipal laws and is void outside the Territory and where prohibited by law. By participating in this Promotion, each Entrant agrees to abide by and be legally bound by these Official Rules and decisions of the independent Promotion Parties, which shall be final in all matters relating to the Promotion. The Promotion Administrator may require proof of consent or any other documentation at any time and in any manner they deem appropriate.

3. Promotion Period: 

  • 3.1 The Promotion shall only accept Submissions during the Promotion Period, as defined by these Official Rules.
  • 3.2 Residents of Canada: there will be twelve (12) weekly entry periods during the Promotion Period (as provided for in Section 1.21(a)-(l), individually referred to as the “Weekly Entry Period”) whereby each Weekly Entry Period will begin on the respective Friday during the Promotion Period at 9:00:01 a.m. (EST) and will end on the following Friday at 8:59 p.m. (EST) (except for the first Weekly Entry Period, which will begin on Saturday April 1, 2017 at 12:00:01 a.m. EST and will end on Friday April 7, 2017 at 8:59 a.m (EST)). There will be no Weekly Draw nor any Entrant be eligible for any Weekly Draw for the week starting June 23, 2017 at 9:01 a.m. (EST) and concluding at the end of the Promotion Period. Each Weekly Entry Period will correspond to a Weekly Draw (See Section 7, below for details). There will only be one (1) final drawing to select the Grand Prize Winner (See Section 7 below for details).

4. How to Enter:

    • 4.1  During the Promotion Period, an Entrant may enter the Promotion by completing a Submission by the following steps:
      • (a) Go to any of the following Microsite which may be accessed through any of the Websites and click on the link to locate the official entry form;
      • (b) Follow the on-screen instructions and complete all required fields on the Registration Form, and any other fields required or prompted by the Submission;
      • (c) Upload or complete, as the case may be, either:
        • (i) Responding to all questions and/or statements listed in the survey including a short essay (under 300 words) about or related to “How has the new measuring tape improved your work?” (the “Survey”); or,
        • (ii) Upload a photograph that depicts your displaying the new tape measure (a “Photo”);
      • (d) Ensure that the Submission is in compliance with all of the requirements of these Official Rules; and,
      • (e) Once you have completed the official entry form (including a Photo or a Survey), submit it during the Promotion Period.
    • 4.2      Once your Submission is received by the Promotion Administrator and it is determined to be in compliance with these Official Rules (as determined by the Sponsor or the Promotion Administrator in their sole and absolute discretion), you will receive one (1) Valid Entry into the Promotion’s Weekly Draw and/or Grand Prize Draw, as the case may be.  Valid Entries must comply with the Submission requirements or they will be disqualified. All Entries are subject to a review by Promotion Administrator and Sponsor prior to or after posting online.
    • 4.3      By uploading your Submission, you agree that your Submission conforms to the Submission requirements set forth below and agree that Promotion Administrator, in its sole and absolute discretion, may remove your Submission and disqualify you from the Promotion at any time if it believes, in its sole and absolute discretion, that your Submission fails to conform to the requirements or is otherwise not in compliance with these Official Rules. The Promotion Administrator is not required to provide any disqualified Entrant with any explanation for the Entrant’s disqualification. Each Entrant must complete all required information.
    • 4.4      To the maximum extent permitted by law, any and all Submissions become the exclusive property of the Promotion Parties and will not be acknowledged or returned except as provided herein. Submissions which are incomplete, incorrect, incomprehensible, not received, or do not otherwise comply with these Official Rules (as determined by the Sponsor or Promotion Administrator in their sole and absolute discretion) will be void and will not be entered into the Promotion’s Weekly Draw or the Grand Prize Draw. Submissions made by any other manner not specifically stated under these Official Rules (as determined by the Sponsor or Promotion Administrator in their sole and absolute discretion) will not be considered to be a Valid Entry and may result in disqualification of the responsible Entrant from any further Valid Entries. You are not a winner until your prize claim is validated and you receive official written notification from the Sponsor or the Promotion Administrator.
    • 4.5      In the event of a dispute regarding the identity of the person submitting a Submission, the Submission will be declared to be made by the person in whose name Submission was made. LIMIT ONE (1) ENTRY PER PERSON/EMAIL ADDRESS PER DAY (WITH REFERENCE TO ET). EACH ENTRY MUST BE SUBSTANTIALLY DIFFERENT FROM ANY PREVIOUSLY SUBMITTED ENTRY; IF PROMOTION ADMINISTRATOR OR SPONSOR FINDS TWO OR MORE ENTRIES TO BE SUBSTANTIALLY SIMILAR, THEN ONLY THE FIRST SUCH ENTRY RECEIVED WILL BE ELIGIBLE FOR ENTRY, AND CONSIDERATION FOR A PRIZE, IN THIS PROMOTION.

5. Conditions of Review Submission:

      • 5.1 Submission Requirements:
        • (a) The Submission must be uploaded via the Websites.
        • (b) The Submission must be the Entrant’s original creation; modifying, enhancing or altering a third party’s preexisting work does not qualify as an Entrant’s original creation.
        • (c) If applicable, the Photo must feature a Milwaukee® branded measuring tape and cannot contain any other tool brand.
        • (d) If applicable, the Survey must be completely filled out and where applicable, meet specific word requirements. Where applicable, and in the sole discretion of the Sponsor or the Promotion Administrator, the Entrants must have used full sentences that respond to the question asked.
        • (e) All Submissions must be in English or French.
        • (f) If applicable, the Photo must not feature any minors using a tool.
        • (g) If applicable, the Photo must be formatted as .jpg or files and must not exceed 10 MB in size.
      • 5.2 Additional Conditions of Submission: Any Submission which Promotion Administrator or Sponsor, in their sole and absolute opinion, determines to be unsafe or inappropriate for publication or inclusion in this Promotion, or dishonest, will not be considered or displayed (if such determination is made prior to posting) and the corresponding Entrant shall be disqualified. If such determination is made after a Submission was posted, the Submission will be removed as soon as is practicable and the Entrant and the Submission will be disqualified from any or further participation and any prize received from a Weekly Draw or the Grand Prize Draw must be returned to the Promotion Administrator immediately.
      • 5.3 Submissions cannot (as determined by the Promotion Administrator or Sponsor in their sole and absolute discretion):
        • (a) be sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain nudity or any materially dangerous activity;
        • (b) promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
        • (c) be obscene or offensive, endorse any form of hate or hate group;
        • (d) defame, misrepresent or contain disparaging remarks about Sponsor or its products, or other people, products or companies;
        • (e) contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, email addresses or street addresses;
        • (f) contain copyrighted materials owned by others (including Photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media);
        • (g) contain materials embodying the names, likenesses, Photographs, or other indicia identifying any person, living or dead without their permission (and, if a minor, permission of their parent or legal guardian);
        • (h) if applicable, contain less words or more words than instructed;
        • (i) communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and/or
        • (j) depict violation of any law, or in and of itself, be in violation of any law or third party rights.
      • 5.4 By submitting a Submission, each Entrant represents and warrants that:
        • (a) his/her Submission is the sole and original creation of the Entrant or the Entrant owns all rights in the Submission and further that the Submission has not been copied in whole or in part from any other work;
        • (b) the Submission does not violate or infringe any copyright, trademark/tradename, or other proprietary right of any person (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity;
        • (c) the Submission is the sole and exclusive property of the Entrant;
        • (d) any other persons mentioned in the Submission have given written consent (and, if a minor, written consent of their parent or legal guardian has also been obtained) to its Submission into the Promotion and use as contemplated by these Official Rules and Entrant can and will supply proof of consent if requested by Sponsor to the Sponsor;
        • (e) the Submission has not been previously published in any media outlet whatsoever existing;
        • (f) the Entrant owns or otherwise has rights to use all elements of the Submission;
        • (g) each Entrant has reviewed and understands these Official Rules;
        • (h) the Submission has not won previous awards in any contest, promotion, sweepstakes, or any game whatsoever of similar promotional/marketing nature; and
        • (i) publication of the Submission via various media including Website posting, will not infringe on the rights of any third party.
        • (j) Each Entrant agrees to indemnify and hold harmless, Promotion Parties from any claims to the contrary.
      • 5.5 Posting Photo and Personal Information on the Website
        • (a) BY SUBMITTING A SUBMISSION, ENTRANT ACKNOWLEDGES THAT HIS/HER SUBMISSION MAY BE POSTED ON PROMOTIONAL PARTIES’ WEBSITES, IN THE PROMOTIONAL PARTIES’ SOLE AND ABSOLUTE DISCRETION.
        • (b) Posting of a Submission is not an indication that the Submission has won a prize or is otherwise favored for a prize. The Sponsor and/or the Promotion Administrator will screen every Submission within two (2) business days of that Submission being submitted. Any Submission that the Sponsor or the Promotion Administrator deems, in their sole and absolute discretion, to violate the terms and conditions set forth in these Official Rules will not be posted. Prior to being posted on the Websites, the Sponsor and/or the Promotion Administrator reserves the right, in their sole and absolute discretion, to edit or modify any Submission, or to request an Entrant to modify or edit his or her Submission, in order to help ensure that the Submission complies with these Official Rules, or for any other reason.

6. Rights Granted:

        • 6.1 By entering the Promotion, each Entrant irrevocably and forever grants to Sponsor the non-exclusive, perpetual, fully paid up, royalty-free, worldwide right to reproduce, publicly perform, publish, communicate to the public by telecommunication and otherwise exploit your Submission (in whole or in part, as is or as may be edited) (and all works derived from it) in any media for any purpose (including without limitation to post the Submission on the Websites and other online platforms in connection with the Promotion and promoting the Sponsor) and, without limiting the generality of the foregoing, agree that Promotion Parties may reproduce, edit, market, store, distribute, have distributed, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the Submission or portions of the Submission (as such may be edited and modified by the Sponsor at its discretion) for editorial, commercial, promotional and all other purposes (including without limitation posting on Sponsor-affiliated websites, social media sites and/or other Sponsor-selected media, without any kind of payment to you. You expressly waive all moral rights in and to your Submission in favour of the Sponsor and also waive all rights to review or approve any use that Sponsor makes of your Submission in accordance with these Official Rules. By entering the Promotion, you agree that your Submission is gratuitous, unsolicited and without restriction, and will not place the Sponsor under any obligations other than those contained in these Official Rules, and that Sponsor is free to disclose the ideas contained in the Submission on a non-confidential basis to anyone or otherwise use the ideas therein without any compensation to you. You further acknowledge that Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you.
        • 6.2 By entering the Promotion, you understand and acknowledge that you will not now or in the future be paid or compensated in any way for your Submission or for granting the Sponsor any of the rights set out in these Official Rules. You further acknowledge that Sponsor is not obligated to make use of any of the rights granted in these Official Rules.
        • 6.3 Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to any or all of the Entrants.

7. Prize Drawings:

        • 7.1 Weekly Prize Drawings: on the respective date and time noted in Section 1.21(a)-(l) of these Official Rules, at the end of each Weekly Entry Period, the Promotion Administrator will conduct a random drawing from its offices, located at 1351 Strasburg Road, Kitchener, Ontario, N2R 1H2, from among all Valid Entries received during such Weekly Entry Period to select one (1) Weekly Winner per Weekly Entry Period. Entries received during any previous Weekly Entry Period(s) will not roll-over into subsequent Weekly Prize Drawings. Odds of winning a Prize Package will depend on the number of Valid Entries received during the applicable Weekly Entry Period. If a Valid Entry is selected as the potential Weekly Winner, the potential Weekly Winner shall be notified by the Promotion Administrator within one (1) business day of the respective Weekly Draw taking place. The potential Weekly Winner shall have three (3) business days to notify the Promotional Administrator that he or she will accept the Prize Package and further shall provide the Promotional Parties (as the case may be) with any such further information as may be requested. This information shall also be bound to and in accordance with the Privacy Policy and rights provided in Section 5.5 and Section 6 of these Official Rules. Should the potential Weekly Winner not reply within the three (3) business days after the Promotion Administrator notifies them, then the Promotion Administrator may, in its sole and absolute discretion, void the selected ballot and randomly select another ballot until a Weekly Winner is announced.
        • 7.2 Grand Prize Drawing: on the respective date and time noted in Section 1.3 of these Official Rules, the Promotion Administrator will conduct a random drawing from its offices, located at 1351 Strasburg Road, Kitchener, Ontario, N2R 1H2, from among all of the Valid Entries received during the Promotion Period (which were not already selected as a Weekly Winner) to select the potential Grand Prize Winner. Odds of winning the Grand Prize will depend on the number of all of the Valid Entries received during the Promotion Period. If a Valid Entry is selected as the potential Grand Prize Winner, the potential Grand Prize Winner shall be notified by the Promotion Administrator within one (1) business day of the respective Grand Prize Draw taking place. The potential Grand Prize Draw Winner shall have seven (7) days to notify the Promotional Administrator that he or she will accept the prize and further he or she shall provide the Promotional Parties (as the case may be) with any such further information as may be requested. This information shall also be bound to and in accordance with the Privacy Policy and rights provided in Section 5.5 and Section 6 of these Official Rules. Should the potential Grand Prize Winner not reply within the seven (7) days after the Promotion Administrator notifies them in writing, then the Promotion Administrator may, in its sole and absolute discretion, void the selected ballot and randomly select another ballot until a Grand Prize Winner is announced.
        • 7.3 Prizes, Approximate Retail Value (“ARV”): The following are the prizes that are available to be won in connection with the Promotion:
          • 7.3.1 One (1) Grand Prize: refers to a Lifetime Supply of Measuring Tapes which consists of refers to 432 tape measures as the maximum number of tape measures provided to the Grand Prize Winner (the “Grand Prize”). The Grand Prize shall consist of only the following tape measures:
            • (a) 400 pcs of any one (1) of the following tape measures:

              Each tape measure contained in this section 7.3.1(a)(i)-(iv) has an ARV of $27.99 CAD and a total ARV of $11,196.00;

            • (b) 22 pcs of long tape measures (SKU 48-22-5201) ARV $29.97 each (total ARV $659.34); and
            • (c) 10 pcs of Measuring Tapes (SKU 48-22-5012) ARV $69.97 each (total ARV $699.70).
            • The total retail value of all 432 tape measures is $12,555.04. The number of measuring tapes used to determine the amount is based on an average of four (4) tape measures per year for a crew of nine (9) people for twelve (12) years (4 * 9 * 12 = 432 tape measures). The Grand Prize Winner is not entitled to a Prize Package;

          • 7.3.3 Total ARV of all Prizes available to residents of Canada is CAD $18,555.04. No substitution, cash redemption or transfer of prizes is permitted except at Sponsor’s sole discretion or as provided herein. If any prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute it with a prize of equal or greater value. All federal, provincial, territorial and municipal taxes, and all other costs associated with acceptance or use of the prize(s), are the sole responsibility of the winner(s). Arrangements for delivery of prize(s) will be made after winner validation. LIMIT ONE (1) WEEKLY PRIZE OR MONTHLY PRIZE PER PERSON/EMAIL ADDRESS/HOUSEHOLD. At the Sponsor’s discretion, unclaimed prizes may not be awarded. All characteristics and features of the prizes, except as otherwise explicitly stated above, are at the Sponsor’s sole and absolute discretion.
        • 7.4 Delivery of Prizes: All Weekly Winners shall be notified that they are the Winner of the Weekly Draw or Grand Prize Draw within one (1) business days of the respective draw. Either the Weekly Winner or the Grand Prize Winner must submit and additional information requested by the Promotion Administrator to ensure that delivery of the prize is completed as well as selecting any items that are included in the Weekly Prize (the “Winner’s Notification”). After the respective winner provides the information necessary to complete the delivery of the prize, the Promotion Administrator shall deliver the corresponding prize within sixty (60) days of receiving the Winner’s Notification.

8. Notification & Validation of Winners:

        • 8.1 Potential winners will be contacted by telephone, email, regular mail or overnight mail, and may be required, upon request, to complete, sign and return a declaration of eligibility, a liability release, and a publicity release within a stated amount of time. The return of any notification as undeliverable or failure to respond to notices or return any required documents or information in a timely manner or a determination that a potential winner is ineligible or not in compliance with these Official Rules, as determined solely by the Promotion Administrator in its sole and absolute discretion, may result in disqualification of the winner and forfeiture of the applicable prize, and the choosing of an alternate winner in a random drawing from among the remaining eligible Entries. Each potential winner must first correctly answer a time-limited, mathematical skill-testing question (without assistance of any kind, mechanical or otherwise) if selected as a potential winner, in order to claim a prize.

9. Limitations:

        • 9.1 Promotion Parties are not responsible for:
          • (a) electronic or digital transmissions or Entries, Submissions, Votes or any other Promotion-related information (collectively, “Promotion-Related Information”) that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected, or not received by Sponsor or Promotion Administrator for any reason;
          • (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures (including but not limited to failures or malfunctions of phone lines, telephone systems or other communications systems), destruction of or unauthorized access to, or alteration of, Promotion-Related Information, or for printing, distribution or production errors;
          • (c) failed or unavailable hardware, network, software or telephone transmissions;
          • (d) damage to entrants’ or any person’s computer;
          • (e) causes beyond Promotion Parties’ reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion;
          • (f) any Promotion-Related Information submitted in a manner that is not expressly allowed under these Official Rules (all such Promotion-Related Information will be disqualified);
          • (g) incorrect or inaccurate Promotion-Related Information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Promotion;
          • (h) any typographical or other error in the printing or advertising related to the Promotion, in the administration or execution of the Promotion, or in the announcement/notification of prize winners;
          • (i) by any human, or other error, which may occur in this Promotion or
          • (j) cheating or fraud by any participant. All incomplete or non-conforming Promotion-Related Information will be disqualified.

10. Modification, Suspension and Termination:

        • 10.1 If for any reason this Promotion cannot be executed as planned, including but not limited to infection by virus, bugs, tampering, unauthorized intervention, fraud, technical failures, social media mandate, or any other causes beyond the control of Sponsor or Promotion Administrator that corrupt or affect the security, administration, integrity, fairness or proper conduct of this Promotion, or if this Promotion is compromised or becomes corrupted in any way, electronically or otherwise, Promotion Administrator reserves the right, in its sole discretion, to void suspect Promotion-Related Information and entrants and/or, subject only to the approval of the Régie des alcools, des courses et des jeux (the “Régie”) in Quebec, modify, suspend and/or terminate this Promotion. If the Promotion is terminated before the stated end date of the Promotion Period, the Promotion Administrator may select the winners in a random drawing from among all eligible, non-suspect Entries received as of the time/date of termination.

11. Disqualification and Verification:

        • 11.1 Promotion Administrator reserves the right, in its sole discretion, to disqualify any individual who tampers with or attempts to tamper with the entry or voting process, who acts in a disruptive or unfair manner, or who attempts to enter or vote using any automatic or programmed entry method, or any entry service. All Promotion-Related Information are subject to verification at any time and for any reason. The Promotion Administrator reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Promotion Administrator – including, without limitation, government issued photo identification):
          • (a) for the purposes of verifying an individual’s eligibility to participate in this Contest;
          • (b) for the purposes of verifying the eligibility and/or legitimacy of any Promotion-Related Information entered (or purportedly entered) for the purposes of this Contest; and/or

SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND/OR PROMOTION ADMINISTRATOR RESERVE THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Releases:

        • 12.1 By participating in this Promotion, each Entrant agrees (and agrees to confirm in writing, if requested):
          • 12.1.1 to the maximum extent permitted by law, all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action;
          • 12.2.2 to release, defend, indemnify and hold harmless Promotion Parties and their respective employees, directors, officers, agents, representatives, successors and assigns (collectively, the “Released Parties”) from and against any liability, loss, claim or cause of action, including, but not limited to, injury, death or damages arising out of participation in this Promotion or the acceptance, possession, use or misuse of any prize received in this Promotion; and
          • 12.2.3 to waive all rights to claim punitive, indirect, incidental and consequential damages, attorneys’ fees, court costs, or any damages other than actual out-of-pocket costs incurred to enter, and any and all rights to have damages multiplied or otherwise increased.
          • NOTE: SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO APPLICABLE PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU.

13. Publicity:

        • 13.1 Except where prohibited, participation in the Promotion constitutes each Entrant’s permission for the Sponsor and its agencies to use the Entrant’s name, information provided in the Registration Form, photograph, voice and any other likeness for purposes of advertising and publicity in all media now known or hereinafter invented without territorial or time limitations and without compensation or notice.

14. Privacy:

        • 14.1 The personal information collected through this Promotion is subject to Sponsor’s Privacy Policy located through the Microsite in hyperlink form. By entering this Promotion, you agree to the collection, use and disclosure of your personal information for the purpose of administering this Promotion and as described in the above Privacy Policy. In the event there is a conflict between Sponsor’s Privacy Policy and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

15. Severability & Conflicts:

        • 15.1 The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision or section is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials or made by any representative of Sponsor or Promotion Administrator, and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

16. Disputes (Quebec Residents Only):

        • 16.1 Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Regie for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.

17. Choice of Law and Jurisdiction:

        • 17.1 This Promotion is offered only in the Territory and, subject only to the foregoing Section 16, is governed by the laws of Ontario, Canada. By entering, each Entrant irrevocably consents to the sole and exclusive jurisdiction of the federal, provincial and local courts located in Ontario for any action, suit or proceeding arising out of or relating to this Promotion.
